Dick is Of Counsel in the Business Section. He has practiced business law in Midland since 1971 and was one of six founding members of the firm. Dick was selected as Midlands Outstanding Young Lawyer in 1979. He has been a frequent speaker on entity formation and oil and gas securities matters, both throughout Texas and the nation. He is also a founding member of the industry group selected by the North American Securities Administrators Association to serve as a liaison and assist this group of state securities administrators in formulating rules for the offer and sale of interests in oil and gas programs.

AREAS OF CONCENTRATION

Entity Formation; Acquisitions and Dispositions

Dick has counseled clients in the structuring and formation of business entities throughout his law practice. In addition, he spends a significant part of his practice representing clients in acquiring entities and assets through mergers, reorganizations, and asset acquisitions. He has also worked in the area of corporate and partnership divestitures, representing clients in disposing of business units and assets which no longer fit the clients needs.

Securities Practice

Dick has practiced securities law, primarily for oil and gas clients and partnerships, since the inception of his practice. His experience stretches back to public drilling and income programs organized as limited partnerships and, most recently, structuring large private placements for drilling and producing property purchases.

Dick also represents publicly held entities through the initial public offering stage, along with subsequent equity and debt offerings, structured as both public offerings and private placements.

Banking Practice

Dick has extensive experience in representing both lenders and borrowers in structuring secured and unsecured loan arrangements, ranging from traditional secured credit arrangements to mezzanine financing involving oil and gas interests and securities as additional lender compensation.
